Terms of sale

These Terms of Sale apply to every order for goods placed with THDR Australia Pty Ltd (ABN 73 695 568 640), trading as THEODORE ("we", "our" or "us"), whether through this website, by email or telephone, or at an appointment or touring event. They sit alongside our Terms & Conditions, Shipping Policy, Returns & Warranty Policy and Privacy Policy, each of which forms part of your contract with us. Where these Terms of Sale differ from another of those documents in relation to the sale of goods, these Terms of Sale prevail.

Nothing in these Terms of Sale excludes, restricts or modifies any right or remedy you have under a law that cannot be contracted out of — including the Australian Consumer Law, and the mandatory consumer law of your own country of residence if you live elsewhere.

1. Who you are buying from

Your contract is with THDR Australia Pty Ltd, a company registered in Australia, at 88 Pitt Street, Redfern NSW 2016, Australia. Our full identification details are in our Legal Notice. You can reach us at hello@thdr.co, on 1300 395 829 within Australia, or on +61 2 9136 2520 from anywhere else.

2. How an order becomes a contract

The products on this website are an invitation to order, not an offer. Placing an order is your offer to buy on these terms. The acknowledgement you receive at checkout confirms we have your order; it is not our acceptance of it.

A contract is formed when we send you an order confirmation. Until then we may decline or limit any order — for example where a cloth has run out, where a price or description was obviously wrong, where we cannot verify the order, or where we cannot ship to the address given. If we decline an order we will tell you and refund in full anything you have paid for it.

Production of a made-to-order garment may begin at any time after the order confirmation.

3. What you are buying

Each product page states whether an item is made to order or held in stock.

Made-to-order garments — our suits, shirts, trousers, outerwear and tailoring — are cut and made individually for you, to your measurements and to the cloth, cut and finishing options you choose. They are not held in stock, cannot be resold to another customer, and are what the law of most countries calls goods made to the consumer's specifications or clearly personalised. This matters for your cancellation rights: see section 8.

Stocked goods — most knitwear, accessories, eyewear and footwear — are made to a standard specification, held at our Sydney studio and dispatched as they are.

Cloth is a natural material. Colour, weave and finish vary between bolts and dye lots, and photography cannot reproduce them exactly. Variation of that kind is a characteristic of the product and not a fault. A monogram, initials or any other personalisation makes a garment personalised for the purposes of section 8, whether or not it is otherwise made to order.

4. Measurements and fit

Where you give us your measurements, approve measurements we hold, or capture them with the THDR Pocket Tailor, you confirm they are accurate and current, and we make the garment to them. Where we take your measurements at a fitting, we are responsible for them.

Our Perfect Fit Guarantee — a remake, or reimbursed local alterations up to A$100 — is a contractual promise we make in addition to your legal rights, and is described in our Returns & Warranty Policy. We ask to be told about a fit concern within 7 days of delivery so we can act on it while the garment is untouched. That 7-day window applies to the Guarantee only. It does not shorten any statutory period, and it does not affect your rights if a garment is faulty or not as described.

5. Price, tax and payment

  • Prices are set in Australian dollars and shown in the currency of the market you are shopping from. The price that applies to your order is the one displayed when you place it.
  • For delivery within Australia, prices include GST. For delivery outside Australia, prices exclude customs duties, import taxes, brokerage and handling charges levied by the destination country, which are payable by the recipient. See our Shipping Policy.
  • Payment is taken at the time of order, by the methods offered at checkout. Where you pay through a third-party or buy-now-pay-later provider, that provider's own terms apply between you and them.
  • Where a price or description error is obvious, we may cancel the affected order before dispatch and refund you in full rather than supply at the wrong price.
  • Promotional codes are subject to their stated conditions, have no cash value, and cannot be combined unless we say so. Gift cards are not redeemable for cash except where the law requires it.

6. Delivery and the delivery period we agree

Delivery is governed by our Shipping Policy. Because each made-to-order garment is produced individually after your order is confirmed, delivery takes materially longer than for goods held in stock, and you and we expressly agree a delivery period of up to 90 days from order confirmation for made-to-order garments, in place of any shorter period a law would otherwise imply. In practice production takes about four weeks from order confirmation, or from the date we receive complete measurements, and shipping is additional; the estimate shown on the product page and in your order confirmation is our honest expectation, not a guarantee.

Stocked goods are dispatched from our Sydney studio, ordinarily within a few business days.

If we cannot deliver within the agreed period we will tell you, and you may agree a new period with us or cancel the order for a full refund of everything you have paid for it. Where a delay is caused by something outside our reasonable control we will keep you informed and this paragraph still applies.

Risk in the goods passes to you on delivery to the address you nominate, including where you have authorised the carrier to leave a parcel unattended. Title passes on the later of delivery and our receipt of payment in full.

7. Changing an order

Tell us as early as you can: hello@thdr.co. Before production begins we will normally accommodate a change to cloth, options, measurements or the delivery address at no cost. Once cloth has been cut, specifications are fixed, and a change may not be possible or may carry the cost already incurred. This paragraph is about our flexibility; your legal rights to cancel are in section 8.

8. Cancellation and withdrawal

8.1 Consumers in the European Union, the EEA and the United Kingdom

If you are a consumer resident in the EU, the EEA or the UK, you have a statutory right to withdraw from a distance contract within 14 days, without giving a reason. This section explains how that right works here, and where it does not apply. It prevails over the change-of-mind clause in our Returns & Warranty Policy, which is written for Australian sales.

When the 14 days run. From the day you, or someone you nominate other than the carrier, takes physical possession of the goods. Where an order arrives in more than one parcel, from the day you receive the last of them.

Where the right does not apply. The law excludes goods made to your specifications or clearly personalised. That exclusion covers all of our made-to-order garments, and any stocked item you have had monogrammed or otherwise personalised. This is set out in Article 16(c) of Directive 2011/83/EU and, in the United Kingdom, regulation 28(1)(b) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. We draw it to your attention before you order because it means a made-to-measure commission cannot be cancelled once it is confirmed other than as set out in section 6, or where the garment turns out to be faulty or not as described.

How to withdraw, for an order the right does apply to. Email hello@thdr.co before the 14 days are up with a clear statement that you are withdrawing. Any unequivocal statement will do; you may use this wording if it helps:

I hereby give notice that I withdraw from my contract of sale for the following goods: [describe the goods]. Ordered on [date] / received on [date]. Name: [your name]. Address: [your address]. Date: [the date you send this].

Returning the goods. Send them back within 14 days of telling us. You bear the direct cost of return. Please keep them in a condition that allows us to resell them: you may handle and try on goods as you would in a shop, but you are liable for any loss in value caused by handling beyond that.

Your refund. Within 14 days of the day we receive the goods back, or the day you give us proof you have sent them, whichever is earlier. We refund the price and the standard outbound delivery cost, by the same means you paid, at no charge to you. If you chose a delivery option more expensive than our standard one, we refund the standard cost.

8.2 Consumers in Australia and New Zealand

Because our garments are cut and made individually, we do not offer refunds, exchanges or credit for change of mind, incorrect ordering or finding a lower price elsewhere. Your rights under the Australian Consumer Law, or the Consumer Guarantees Act 1993 in New Zealand, are unaffected, and our Perfect Fit Guarantee and limited 90-day warranty apply in addition. 8.3 Consumers elsewhere

Section 8.2 applies, together with any mandatory right of cancellation or return given to you by the law of your own country of residence, which we will honour.

9. If something is wrong with your order

Goods we supply must match their description, be of satisfactory quality and be fit for purpose. If they are not, tell us and we will put it right; we will not ask you to bear the cost of returning faulty goods. Consumers in the EU and the EEA have at least two years from delivery to raise a lack of conformity under Directive (EU) 2019/771, and consumers in the UK have the remedies given by the Consumer Rights Act 2015. In Australia, the Australian Consumer Law applies, and a major failure entitles you to a refund, replacement or compensation.

Our limited 90-day warranty on materials and workmanship and our Perfect Fit Guarantee are commercial guarantees given in addition to all of the above, never instead of them. The process for a claim, and the evidence we ask for, is in our Returns & Warranty Policy.

For a parcel that is missing or arrives damaged, tell us within 7 days of the delivery scan so we can claim against the carrier, keep the packaging, and photograph the damage.

10. Complaints and disputes

Please come to us first: email hello@thdr.co with your order number and what has happened. We aim to respond within 5 to 7 business days, and almost everything is settled at that stage.

If we cannot resolve it together, the notice-and-mediation procedure in clause 17 of our Terms & Conditions applies before either of us starts proceedings. That procedure does not prevent either party seeking urgent relief from a court, and it does not prevent you from taking the matter to the consumer protection authority or alternative dispute resolution scheme in your own country, or to a court that has jurisdiction over your claim. Consumers in the EU should note that the European Commission's online dispute resolution platform closed on 20 July 2025; your national consumer body or ADR scheme is the route to use.

11. Governing law

These Terms of Sale are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts. If you buy as a consumer, this does not deprive you of the protection of any mandatory consumer law of your country of habitual residence, or of any right you have to bring proceedings in the courts of that country.

12. Changes

We may revise these Terms of Sale by publishing an updated version on this website. The version in force when you place an order applies to that order.
